Grupo Antolin creates an Advisory Board and an Ethics and Corporate Government Commission
Grupo Antolin has also set up an Ethics, Corporate Government, Compliance and Corporate Social Responsibility Commission. The new committee will be the company's third together with the Audit Committee and the Commission of Appointments and Remuneration of the Board of Directors.
The new Committee will supervise and evaluate compliance with internal codes of ethics and conduct as well as corporate government rules. It will also ensure that the company complies with its environmental, good government and Corporate Social Responsibility policies.
For its part, the Advisory Board will provide non-binding advice to the Board of Directors on the progress of the business and the strategic decision-making process. The advisers will participate in all the meetings and activities of the Board of Directors with access to all company information and will be part of the three committees. They will bring a wealth of experience to the Board of Directors.
The Advisory Board consists of five prestigious professionals from different business areas who have wide-ranging knowledge of the best good government practices. They also have extensive experience as board members of listed and unlisted companies, many of which are family groups.
The Advisory Board comprises three advisers without any relationship with Grupo Antolin: Carmen Gómez de Barreda, Independent Director of Red Eléctrica de España and General Manager of Corporación de Reservas Estratégicas de Productos Petrolíferos (CORES); Ramón Sotomayor Jáuregui, Independent Director of Abengoa and ex CEO of Grupo Thyssenkrupp for Southern Europe, Africa and Middle East; and Bernardo José Villazán Gil, Director of Chair for Industry 4.0 of ICAI and Independent Director of Grupo Lantero. The other two advisers have a wide-ranging knowledge of Grupo Antolin: José Manuel Temiño Estefania, former chief executive officer of Grupo Antolin, and Emilio Ontiveros Baeza, chairman of Analistas Financieros Internacionales y and adviser of Grupo Antolin for a long time.
Grupo Antolin has been working for some time on the implementation of the best international practices in the area of good government and on reinforcing the transparency and professionalism of its management. In recent years, the company has improved how the Board of Directors work as well as has given more powers to the Audit Committee and to the Commission of Appointments and Remuneration. It also has hired a Compliance Director who ensures compliance with the rules and the ethical code of Grupo Antolin.
The Board of Director of Grupo Antolin comprises five members: Jesús Pascual, CEO of Grupo Antolin, and four directors that represent Antolin family, which controls 100% of the company.
